ANNOUNCEMENT TO OWNERS AND USERS OF KESLA TRACTOR EQUIPMENT 11.5.2026

11.05.2026 News

The Board of Directors of Kesla has decided, based on a strategic evaluation, to initiate a divestment process for the tractor equipment product group (tractor-mounted civilian applications). The divestment process will not affect cooperation, deliveries, product availability, sales, production or aftermarket services – operations will continue as normal.

The purpose of this announcement is to inform owners and users of Kesla tractor equipment (forest trailers, loaders, stroke processors, etc.) about what the divestment process means and what will happen next.

Kesla announced on 11 May 2026 at 13:30 via a stock exchange release (see link with English translation available at Inside information: Kesla initiates divestment process of its Tractor Equipment product group and focuses increasingly on the development of its Defence product group | Kesla) that it has decided, based on a strategic evaluation, to initiate a divestment process concerning the tractor equipment product group. The decision is part of a broader restructuring and structural evaluation process, which Kesla announced on 1 December 2025. The evaluation process includes a strategic review of Kesla’s various product groups.

The process concerns tractor-mounted civilian applications, including forest trailers, loaders and stroke processors. Kesla will retain the product rights related to defence applications and other non-tractor-mounted uses.

The process may result in a business transaction or other changes related to the tractor equipment product group. It covers product rights for tractor-mounted civilian use, including inventories, responsibility for customer relationships and product liability. Kesla retains product rights related to defence applications and other non-tractor-mounted uses.

From the perspective of end customers and users, the divestment process will at this stage have no impact on product availability, sales or aftersales services, and cooperation with your Kesla distributor or service point will continue as normal throughout the process.

As the process progresses, Kesla will provide updates on decisions made. The process is expected to be completed during 2026.

“Kesla will ensure that factory deliveries, sales support and aftermarket support for end customers continue as normal throughout the process. The high-quality tractor equipment product group will continue to serve customers and support their needs throughout the entire process,” says Pasi Nieminen, CEO of Kesla Oyj.

Questions and Answers (Q&A) for End Customers

Why has Kesla initiated the divestment process?

The decision is based on a strategic evaluation initiated by the Board of Directors, as announced on 1 December 2025. As part of this process, Kesla assesses the role of each product group and evaluates which product groups offer the best long-term growth and profitability potential.

Based on this evaluation, the divestment of tractor equipment has been identified as the best overall solution for both Kesla and the future development of the product group. The goal is to find a new owner capable of significantly investing in its development.

What kind of buyer is Kesla looking for?

The key objective is to ensure continuity of Kesla’s product legacy within the tractor equipment segment under a new owner.

Kesla is seeking a buyer with the willingness, capabilities and financial resources to develop the product offering, sales and aftermarket services. The buyer profile is especially important from a brand and reputation perspective.

What does divestment actually mean? For example, KESLA Kerberos is based on tractor equipment products.

In practice, Kesla will divest product rights, inventories, and sales and aftermarket responsibilities, as well as product liability related to loaders and forest trailers used in tractor-mounted civilian applications. This includes forest trailers, loaders, stroke processors, control systems and attachments used with tractors in civilian applications.

Kesla will retain the right to use these products in Defence applications and other non-tractor-mounted uses.

Examples:

  • The new owner may develop, manufacture and sell forest trailers and loaders for tractor-mounted use in forestry, agriculture and municipal work.
  • Sales of tractor loaders for forestry machines or chipper feeding applications will remain with Kesla.
  • The new owner will not be allowed to develop or market defence applications based on KESLA products.
  • In practice, the development of Kesla’s loaders and trailers will continue in two separate companies and will gradually diverge over time.

When will the divestment process be completed?

The divestment is expected to take place during 2026, although it may extend into 2027 or later.

Will the divestment affect Kesla’s 2026 sales and marketing plans?

Kesla will continue tractor equipment sales, marketing and aftermarket services in full cooperation with distributors and service points as normal while the process proceeds in the background.

This includes the launch of new products during 2026 and participation in industry trade fairs as planned.

Is a buyer already known?

No. The process was publicly announced on 11 May 2026 at 13:30.

How will a new owner affect end customers?

The primary goal is continuity. From the end-customer perspective, only the manufacturer may eventually change, while operations will otherwise continue as normal.
